1. Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of the website located at www.tworldpr.com (the "Site") and the related services (the "Services") offered by Transworld Business Advisors of Puerto Rico, LLC, doing business as Transworld Business Advisors of Puerto Rico ("Transworld", "we").

By accessing or using the Site, submitting a form, accepting a non-disclosure agreement, or scheduling an orientation, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.

2. Definitions

"User": any person who accesses or uses the Site.
"Seller": a user who provides information to sell a business.
"Buyer": a user who provides information to acquire a business.
"Content": text, graphics, logos, and other material on the Site.
"Submissions": information you provide to us through the Site.

3. Description of the Services

Transworld is a business brokerage and advisory firm for the purchase and sale of businesses. Through the Site, we facilitate information gathering, initial orientation, and the connection between buyers and sellers. Transworld acts as an intermediary and is not a principal party to any purchase-and-sale transaction between users.

4. Eligibility

You represent that you are at least 18 years old and have the legal capacity to accept these Terms and, where applicable, the authority to share information about the business you represent.

5. Accuracy of the information you provide

You agree to provide truthful, accurate, and complete information and to keep it up to date. You are responsible for the information you submit and represent that you have the right to share it. Incomplete or inaccurate information may affect the quality of our orientation.

6. Valuation estimator — Important notice

The valuation estimator available on the Site generates a directional, approximate value range, calculated automatically from the answers you provide. This estimate:

Does NOT constitute a professional or certified business valuation.
Is NOT a Broker's Opinion of Value (BOV) or an appraisal.
Does NOT constitute legal, tax, accounting, financial, or investment advice.
Does NOT represent an offer, guarantee, or promise of a purchase or sale price.

For a formal report suitable for banks, attorneys, accountants, or buyers, you must request a certified valuation and consult professional advisors. You should not make decisions based solely on the Site's estimate.

7. No professional advice

The Site's Content, including any material about tax incentives (for example, Act 60 and related decrees), is for general informational purposes and does not constitute legal, tax, accounting, financial, or investment advice. Questions about tax incentives are collected solely to understand your context and do not constitute legal or tax advice. Consult a licensed professional before making decisions.

8. No guarantee of outcome and no brokerage relationship

Use of the Site does not guarantee the sale, purchase, financing, or valuation of any business, nor the availability of specific opportunities. No brokerage, agency, or representation relationship is created merely by using the Site or submitting information. Any brokerage or representation relationship will be governed by a separately signed written engagement agreement between you and Transworld.

9. Confidentiality and Non-Disclosure Agreement (NDA)

To access confidential information about available businesses, buyers must accept a Non-Disclosure Agreement (NDA) through the Site. By accepting it, you agree to maintain the confidentiality of the information you receive and to use it solely to evaluate a potential acquisition. The NDA's obligations are set out in the text of the agreement itself and are in addition to these Terms. We record the timestamp of your acceptance.

10. User conduct

You agree not to:

Provide false information or impersonate another person or entity.
Use the Site for unlawful or unauthorized purposes.
Interfere with the security or operation of the Site.
Access systems or data without authorization.
Collect information about other users without their consent.
Disclose confidential information in violation of an NDA.

11. Intellectual property

The Site and its Content, including the "Transworld Business Advisors" trademarks and associated logos, are the property of their respective owners and are protected by intellectual property laws. The Transworld brand is used under a franchise license. You may not copy, reproduce, distribute, or create derivative works without prior written authorization.

12. User submissions

By providing Submissions, you grant us the right to use them to provide the Services in accordance with the Privacy Policy. You represent that you have the necessary rights to the information you share and that it does not infringe the rights of third parties.

13. Third-party services and links

The Site integrates with third-party services (for example, Calendly for scheduling appointments) and may contain links to other sites. We do not control and are not responsible for the content, policies, or practices of third parties. Use of those services is governed by those third parties' terms.

14. Disclaimer of warranties

The Site and Services are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that the estimator's information will be accurate or reliable.

15. Limitation of liability

To the fullest extent permitted by law, Transworld, its affiliates, advisors, and providers shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from the use or inability to use the Site or Services, even if we were advised of the possibility of such damages. In any event, our total aggregate liability shall not exceed the greater of (a) the amounts you paid us in the preceding twelve (12) months, or (b) one hundred dollars ($100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Transworld, its affiliates, advisors, and providers from any claim, loss, liability, expense, or damage (including reasonable attorneys' fees) arising from: (i) your use of the Site; (ii) your breach of these Terms or of an NDA; (iii) the information you provide; or (iv) your violation of the rights of third parties or of the law.

17. Privacy

The processing of your personal information is governed by our Privacy Policy, which is an integral part of these Terms.

18. Modifications

We may modify these Terms at any time. We will post the updated version on the Site with a new "Last updated" date. Continued use of the Site after posting constitutes your acceptance of the changes.

19. Termination

We may suspend or terminate your access to the Site at any time, with or without cause and without prior notice. Provisions that by their nature should survive termination (including Sections 14 through 16 and 20) will remain in effect.

20. Governing law and dispute resolution

These Terms are governed by the laws of the Commonwealth of Puerto Rico and applicable United States federal laws, without regard to conflict-of-laws rules. Any dispute arising from these Terms or from use of the Site shall be submitted to the exclusive jurisdiction of the courts located in San Juan, Puerto Rico, unless the parties agree in writing to an alternative dispute resolution mechanism (such as mediation or arbitration).

21. General provisions

Entire agreement: these Terms and the Privacy Policy constitute the complete agreement between you and Transworld regarding the Site.
Severability: if any provision is held invalid, the remaining provisions will remain in effect.
No waiver: failure to enforce a provision does not constitute a waiver of it.
Assignment: you may not assign these Terms without our consent; we may do so.
